The Commercial Legal Team at Pinterest negotiates Pinterest’s inbound and vendor/supplier agreements.  We are looking for a Contracts Manager with a strong background working in Ironclad who understands the workflow process.  The Contracts Manager should have deep knowledge of vendor contracts administration. As the first point of contact for internal business partners you will be responsible for ensuring our clients understand what we do and why we do it (through communication, training, documentation, etc.) and ensuring that our business requesters have a seamless, efficient and positive experience. 

 

What you’ll do:

  • Triage Domestic and International Commercial vendor agreements (master agreements, SOWs, Change Orders, Order Forms, Amendments, etc.).
  • Analyze historical contract documents, identify areas for updates, and prepare contracts for attorney review to ensure agreements are consistent with overarching governing agreements.
  • Determine whether new DPAs or security agreements should be executed based on team guidelines. 
  • Issue spot for terms that are not acceptable per our Playbook guidelines.
  • Review workflows for legal and policy compliance, monitoring for adherence to company policy.
  • Perform Legal and LegalOps review for goods only agreements.
  • Review low risk SOWs, Change Orders, Order Forms, and Amendments and approve on behalf of Legal and LegalOps.
  • Provide back-up support for contract managers that are OOO/PTO/vacation, etc., or where bandwidths are at the max.
  • Perform special assignments and administrative work as needed.

What we’re looking for:

  • Someone with 3+ years of experience triaging workflows in Ironclad for an in-house legal team.
  • Ability to issue spot and call out terms in the agreement that do not align with established legal guidelines or company policies.
  • Solid understanding of contracts such as the relationships between MSAs, SOWs, and order forms.
  • Experience supporting contract review of DPAs, understanding where they fit within the contract, and their importance under data privacy laws and regulations.
  • Able to multitask with competing priorities, projects, or internal requests and thrive in a fast-paced environment.
  • Strong communication skills, particularly in the ability to clarify contract structure.  
  • A collaborative, team player who likes relationship building across the organization. 
  • A problem solver who can anticipate needs and offer solutions and implement them. 
  • Able to distill and communicate mildly nuanced legal positions within Pinterest in a clear, concise, compelling manner
  • Proven track record of meeting scheduled deadlines and fulfilling business commitments.
  • Must be available 40 hours per week.
  • Must be able to work Pinterest’s business hours of Monday - Friday, 9:00am - 5:00pm PT.
